Terms of Service

1. Acceptance of Terms

By accessing or using AI Panda (“the App”, “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the App.

2. Definitions

“User Content” means content you create, upload, submit, or configure in the App (including custom AI personalities and prompts). “Outputs” means content generated by the App in response to inputs. “Services” means the App, website, APIs, and related features.

3. Eligibility

You must be at least 15 years old (or the minimum age of digital consent in your country—16 in the EEA unless parental consent is provided) to use the App. If you are under the applicable age, you may only use the App with verifiable consent from a parent or legal guardian, who is responsible for your use.

4. Description of Service

AI Panda is an AI app that houses a suite of AI tools, including image generation, video generation, and AI chat experiences. Users can configure custom workflows, collaborate with multi-agent setups, and experiment with new creative formats as we release them.

5. Intellectual Property & Licenses

Your Content

You retain ownership of User Content. You grant AI Panda a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, reproduce, display, perform, adapt, and create derivative works of User Content solely to provide, maintain, protect, and improve the Services, to comply with law, and to develop safety features.

Model Improvement

We may use de-identified User Content and Outputs to improve our models. You can opt out via in-app settings or by emailing us at panda@aipandatools.com.

Outputs

Subject to third-party rights and your compliance with these Terms, AI Panda assigns to you its rights in Outputs generated for you, to the extent permitted by law. You are responsible for how you use Outputs, including obtaining any third-party permissions.

Feedback

If you provide feedback or suggestions, you grant AI Panda a perpetual, irrevocable license to use it without restriction or compensation.

6. Acceptable Use

You will not use the Services to:

• Violate laws or rights
• Generate or disseminate illegal or harmful content (including CSAM, non-consensual intimate imagery, doxxing, credible threats, or instructions facilitating violent/illegal activity)
• Engage in biometric identification or face recognition
• Target individuals or groups with harassment or hate
• Produce medical, legal, or financial advice purporting to be professional guidance
• Create or spread election misinformation or conduct political persuasion targeting specific demographics
• Develop malware or attempt to bypass safety systems
• Scrape, rate-limit evade, or reverse engineer the Services
• Infringe IP or privacy
• Use in high-risk environments (e.g., medical devices, aviation, nuclear, or life-support)

We may rate-limit, filter, or remove content and suspend accounts that violate this policy.

7. Copyright/Trademark Complaints

We respond to notices under the DMCA (17 U.S.C. §512) and applicable local laws. Report alleged infringement to panda@aipandatools.com with: (i) your contact info; (ii) work identified; (iii) allegedly infringing material and location; (iv) a statement of good-faith belief; (v) a statement under penalty of perjury; and (vi) your signature. We may terminate repeat infringers.

8. Privacy & Data

Our Privacy Policy explains what we collect, why, and how long we keep it. Do not upload sensitive personal data (e.g., health, biometric, government IDs) unless we specifically request and provide a lawful basis. We implement reasonable security measures but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account.

9. AI Limitations

Outputs may be inaccurate, biased, or offensive and are provided for informational purposes only. They are not a substitute for professional advice (legal, medical, financial, etc.). You should review Outputs before relying on them.

10. Service Changes & Beta

We may modify or discontinue features. Some features may be labeled “Beta” and could be unstable; you use Beta features as-is and agree we may collect usage data to improve them.

11. Fees & Subscriptions

If you purchase a subscription, it auto-renews at the then-current price unless you cancel at least 24 hours before the end of the current period. Billing is via your app-store account where applicable. Refunds are governed by app-store policies and local law.

12. Termination

We may suspend or terminate your access if you breach these Terms, if required by law, or for risk/safety reasons. Where reasonable, we will provide notice. Upon termination, your license ends and we may delete or disable access to your data; we will provide a data export mechanism where feasible.

13. Mobile Platforms

The App Store/Google Play are third-party beneficiaries of these Terms and may enforce them. You acknowledge they have no warranty or support obligations except as required by their policies. You must comply with their terms.

14. Disclaimers & Liability

Disclaimer

To the maximum extent permitted by law, the Services are provided “as is” and we disclaim all warranties, except that this does not affect rights that cannot be excluded under applicable law.

Limitation of Liability

We will not be liable for indirect or consequential losses (like lost profits or data). Our total liability for all claims relating to the Services in any 12-month period is limited to the greater of €50 or the amount you paid in that period, except liability that cannot be limited (e.g., death or personal injury, fraud, gross negligence, or willful misconduct).

15. Indemnification

You agree to defend, indemnify, and hold harmless AI Panda from claims arising from your User Content, your use of Outputs, or your breach of these Terms or applicable law.

16. Governing Law & Disputes

Governing Law

These Terms are governed by the laws of Ireland, excluding conflict-of-laws rules.

Venue

Courts in Dublin, Ireland have exclusive jurisdiction, except that consumers may bring claims in their country of residence where required by law.

EU ODR

If you are an EU consumer, you may access the ODR platform for dispute resolution.

17. Export & Sanctions

You will not use the Services if you are subject to sanctions or in violation of export control laws (e.g., EU, UK, US).

18. Force Majeure

We are not liable for failure to perform due to events beyond our reasonable control (e.g., outages, natural disasters, war, labor disputes).

19. Changes to Terms

We may update these Terms. If changes are material, we will give advance notice via the App or email. The new Terms will take effect no sooner than 14 days after notice, unless required sooner by law or for safety/security updates.

21. Miscellaneous

Assignment

You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale.

Severability; No Waiver; Entire Agreement

If a clause is unenforceable, the rest remains in effect. Our failure to enforce isn't a waiver. These Terms and referenced policies are the entire agreement.
